1. Acceptance of Terms

By accessing BTHERE Inc.’s website (bthereagency.com) or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services. These terms apply to all clients, exhibitors, and partners who engage BTHERE Inc. for trade show and exhibition support services.

2. About BTHERE Inc.

BTHERE Inc. is a commercial agency based in Florida, USA, specializing in international trade show and exhibition support. Our services include:

  • Booth selection and negotiation with event organizers
  • On-site operational support during exhibitions
  • Government delegation management and coordination
  • Sponsorship and advertising opportunities at trade shows

3. Agency Relationship

BTHERE Inc. acts as a commercial agent on behalf of exhibitors. Depending on the specific show and arrangement, BTHERE may:

  • Negotiate and sign contracts directly with event organizers on the exhibitor’s behalf
  • Facilitate negotiations while the exhibitor signs directly with the organizer
  • Provide advisory and support services without entering into contracts on the exhibitor’s behalf

The specific nature of the agency relationship will be clearly defined in the individual service agreement provided to each client.

4. Fees and Payment Terms

BTHERE Inc.’s compensation structure varies depending on the show and services provided:

  • Commission-based: For certain shows, BTHERE receives a commission from the event organizer. In such cases, no additional fee is charged to the exhibitor.
  • Flat fee: For certain shows, BTHERE charges the exhibitor a flat service fee as outlined in the individual quote provided.

All fees are quoted in USD unless otherwise specified. Payment terms are as follows:

  • A deposit of 50% is required upon signing the service agreement
  • The remaining balance is due 30 days before the exhibition start date
  • Late payments may result in suspension or cancellation of services
  • A late payment fee of 1.5% per month may be applied to overdue balances

5. Cancellation Policy

Cancellations by the Client:

  • More than 90 days before the event: 25% of the total fee is non-refundable
  • 30 to 90 days before the event: 50% of the total fee is non-refundable
  • Less than 30 days before the event: 100% of the total fee is non-refundable

Cancellations by BTHERE Inc.:

In the unlikely event that BTHERE Inc. must cancel services, a full refund of all fees paid will be issued within 14 business days.

6. Force Majeure

BTHERE Inc. shall not be held liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to: natural disasters, pandemics, war, government restrictions, cancellation of the trade show by the organizer, or any other event of force majeure. In such cases, BTHERE will make reasonable efforts to reschedule services or provide alternative solutions. Refunds in force majeure situations will be handled on a case-by-case basis.

7. Limitation of Liability

BTHERE Inc. acts as an intermediary agent and is not responsible for the actions, decisions, or policies of event organizers, venues, or third-party service providers. Our liability is limited to the direct fees paid to BTHERE Inc. for the specific service in question. BTHERE Inc. shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of business, revenue, or profits
  • Decisions made by event organizers regarding booth allocation or pricing
  • Any costs incurred by the client beyond BTHERE’s direct service fees

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the business relationship. BTHERE Inc. will not disclose client information to third parties without prior written consent, except as required by law or as necessary to fulfill the agreed services (e.g., sharing exhibitor details with event organizers).

9. Intellectual Property

All intellectual property rights related to BTHERE Inc.’s website, branding, materials, and services are reserved. Unauthorized use, reproduction, or distribution of any BTHERE Inc. content is strictly prohibited without prior written consent.

10. International Clients & Data Protection

BTHERE Inc. serves clients globally, including clients based in the European Union. For EU-based clients, BTHERE Inc. acknowledges its obligations under the General Data Protection Regulation (GDPR). Personal data collected from EU clients will be processed lawfully, stored securely, and not shared without appropriate safeguards. 11. Governing Law & Dispute Resolution

These Terms and Conditions are governed by the laws of the State of Florida, USA. Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails, disputes shall be submitted to mediation before pursuing legal action. Any legal proceedings shall be conducted in the courts of Florida, USA. International clients agree to submit to the jurisdiction of Florida courts for dispute resolution.

12. Changes to Terms

BTHERE Inc. reserves the right to modify these Terms and Conditions at any time. Updated terms will be posted on this page with a revised date. Continued use of our services after any changes constitutes acceptance of the new terms. For ongoing service agreements, existing contractual terms will remain in effect until the conclusion of the agreed services.
